Before you read these terms. These terms govern your subscription to The Petpreneur Platform (a Latte Legacy Pty Ltd product) and your listing on the Wagly marketplace. The parties, the relationship, and what this agreement is
Who these terms are between
These Terms and Conditions are an agreement between you (the subscriber, referred to throughout as "you" or "member") and Latte Legacy Pty Ltd (ABN to be inserted), trading as The Petpreneur Platform and Wagly, of Queensland, Australia ("we", "us", or "Latte Legacy").
Wagly and The Petpreneur Platform are both products of Latte Legacy Pty Ltd. References to "Wagly" refer to the Wagly pet care marketplace. References to "The Petpreneur Platform" refer to the business software product and subscription service. References to "the platform" refer to both collectively where the context allows.
What this agreement is — a software subscription
This is a software subscription agreement. You are subscribing to The Petpreneur Platform — a SaaS product owned and operated by Latte Legacy Pty Ltd — to access a business account that includes your listing on the Wagly marketplace. This agreement is not an employment contract, a contractor agreement, or a franchise agreement. Your relationship with Latte Legacy is the same as between any business and its software provider.
Your legal relationship with Latte Legacy
You are a customer of The Petpreneur Platform. You are not an employee, agent, partner, or contractor of Latte Legacy Pty Ltd, The Petpreneur Platform, or Wagly. You are an independent business owner who subscribes to our software and business tools to run your own pet care business.
Your relationship with your clients
Your clients are your own. You communicate with them directly, set your own service prices, accept or decline their booking requests at your own discretion, and receive payment from them directly into your own payment account. Latte Legacy Pty Ltd is not a party to any transaction between you and your clients.
Payment flow — how you get paid
Client payments for your services flow directly from the client into your own connected Stripe account and then to your nominated bank account. Latte Legacy Pty Ltd, The Petpreneur Platform, and Wagly are not involved in that payment transaction at any point. Latte Legacy takes no commission from your bookings. Your subscription fee is a completely separate transaction paid by you for software and services.
The two subscription tiers
Wagly member account
$47/month
A professionally configured pet care business account within the Wagly ecosystem. Built and managed by our team. Scoped to Wagly pet care services. Includes your marketplace listing, booking system, CRM, chat, reminders, review system, GPS walk tracker, and mobile app.
The Petpreneur Platform
$150/month
A full Petpreneur Platform membership. Unlimited access to build your own business websites, automations, funnels, and brand. Optional listing in the Wagly hosted businesses section. One-time setup fee applies on upgrade.
The terms governing each tier are set out in Part 1 and Part 2 respectively. Part 3 applies to both tiers.
Acceptance of these terms
By submitting a membership application, activating a subscription, or accessing either platform, you confirm that you have read and understood these terms in full and agree to be bound by them. If you do not agree, do not proceed with your application or subscription.
Part 1
Wagly member account — $47/month
1.1 What your $47/month subscription includes
Your Wagly member account subscription of $47 per month is paid to The Petpreneur Platform (Latte Legacy Pty Ltd) for a professionally configured business account within the Wagly ecosystem. The account is built and maintained by our team. You do not need to build or configure anything.
Your subscription includes all of the following, as configured by our team:
Features included in your subscription may be updated or expanded from time to time. We will notify you of any material changes with a minimum of 30 days written notice.
1.2 Account scope — what the $47 account is and is not
Your Wagly member account is a professionally managed business account configured for your pet care services within the Wagly ecosystem. It is built and maintained by our team on your behalf and operates within defined parameters consistent with the services included in your subscription.
The following uses of your account are not included in the $47 subscription and require upgrading to The Petpreneur Platform at $150/month:
Why the account is scoped. The $47 subscription is priced to reflect a managed, configured account where Latte Legacy builds and maintains your setup. The scope restrictions are features of the managed account tier — not penalties. Everything within scope is built for you. You do not need to configure anything. Upgrading to The Petpreneur Platform at $150/month gives you full independent open-access functionality.
1.3 No commission — you keep 100% of every booking
Latte Legacy Pty Ltd takes no commission from your bookings. Every dollar your clients pay you goes directly into your own Stripe account and to your nominated bank. The $47/month subscription fee is the only ongoing cost. It is a flat monthly fee for your business platform — it does not fluctuate based on how many bookings you take or how much you earn.
1.4 You set your own prices
You set your own service prices. Wagly does not dictate, cap, or minimum-set what you charge. Clients see your rates on your profile before they book. You can update your pricing at any time through your account.
1.5 Your independence as a business operator
You are an independent business owner. You set your own hours, choose your own clients, accept or decline any booking at your discretion, and are responsible for your own tax obligations including income tax, GST registration and remittance where applicable, and superannuation contributions. Latte Legacy does not withhold tax, pay superannuation, or make any contributions on your behalf. We strongly recommend speaking to an accountant before starting if you are unsure of your obligations.
1.6 Subscription fees and billing
Your subscription fee of $47 AUD per month is charged monthly in advance to your nominated payment method on the anniversary of your subscription start date. Your subscription continues on a rolling month-to-month basis until cancelled in accordance with clause 1.8.
If a payment fails we will notify you and make reasonable attempts to collect the outstanding amount before suspending your account. A suspended account will have its Wagly marketplace listing paused until the outstanding subscription is settled. If payment is not received within 30 days of suspension your account will be terminated.
All fees are in Australian dollars and inclusive of GST where applicable. Fees are non-refundable once charged except where required under the Australian Consumer Law.
1.7 Fee changes
We may update the subscription fee with a minimum of 30 days written notice. Any fee change does not apply retroactively to the current billing period. If you do not accept a fee change you may cancel your subscription in accordance with clause 1.8 before the new fee takes effect.
1.8 Cancellation by you
You may cancel your Wagly member account subscription at any time by providing a minimum of 30 days written notice to [email protected]. Your subscription and marketplace listing remain active during the notice period and the monthly fee applies for that period.
Upon the expiry of your notice period your marketplace listing will be removed, your access to the platform will be terminated, and you must cease representing yourself as a Wagly Pet Professional. Your client contact records and any independently created content in your account are yours and will be provided to you upon request within 14 days of cancellation.
1.9 Off-platform bookings — clients sourced through Wagly
While your subscription is active, you must not arrange or accept bookings from clients who found you through the Wagly marketplace outside the Wagly platform. This means no direct cash arrangements, no private agreements via text or social media, and no side deals that bypass your Wagly booking system.
Every booking from a Wagly-sourced client must be processed through your Wagly booking system. This requirement exists because your $47 monthly subscription funds the marketplace listing, booking infrastructure, payment systems, GPS tracker, and operational tools that support your business. Accepting direct bookings from Wagly-sourced clients while benefiting from the platform infrastructure is not a fair arrangement for either party.
Your booking system also protects you — every confirmed booking has a record, a payment trail, and a dispute resolution pathway. Cash arrangements outside the platform have none of that.
This restriction applies to clients who found you through Wagly. It does not restrict you from working with clients you sourced entirely independently of the Wagly platform.
1.10 Verification requirements
Your listing on the Wagly marketplace is conditional on maintaining current verification at all times. This includes:
You must provide updated verification documents within 14 days of expiry. Failure to maintain current verification will result in your listing being paused until verification is renewed.
1.11 Code of Conduct
You agree to abide by the Wagly Pet Professional Code of Conduct at all times. The Code of Conduct is incorporated into this agreement by reference and covers your obligations in relation to animal welfare, client relationships, professionalism, safety, and public conduct. The Code of Conduct is provided to you at the time of membership approval and updated from time to time. Breaches of the Code of Conduct may result in suspension or termination of your subscription in accordance with clause 3.3.
1.12 Minimum subscription period before upgrading
To be eligible to upgrade to The Petpreneur Platform you must have held an active Wagly member account in good standing for a minimum of three consecutive months. Your account is in good standing where your monthly fee payments are current, there are no unresolved client complaints or conduct issues, and you have maintained your verification requirements.
Part 2
The Petpreneur Platform — $150/month
2.1 What The Petpreneur Platform tier is
The Petpreneur Platform at $150/month is a full Petpreneur Platform membership. It gives you unlimited access to build your own business websites, automations, funnels, CRM workflows, social media scheduling, AI staff tools, and all other platform features. You are a Petpreneur Platform member at this tier — the relationship with Wagly is optional rather than foundational.
At this tier you may choose to be listed in the Wagly Hosted Businesses section — a dedicated area of the Wagly marketplace for independently operating pet care businesses that have chosen Wagly as a discovery channel. This listing is optional and assessed on a case-by-case basis.
2.2 Eligibility for upgrade
Upgrade to The Petpreneur Platform is available to members who meet all of the following at the time of their upgrade request:
We reserve the right to decline an upgrade request where eligibility criteria have not been met or where there are unresolved matters relating to the member's conduct or standing.
2.3 What upgrade includes
Upon approval of your upgrade request, our team will complete the following:
A one-time setup fee applies. The amount will be disclosed to you at the time your upgrade request is accepted and before any work commences. This fee is separate from your ongoing monthly subscription fee and is non-refundable once the upgrade process has begun.
2.4 Monthly subscription fee — $150/month
The Petpreneur Platform subscription is $150 AUD per month charged monthly in advance. Your subscription includes unlimited contacts, website and page builders, form and survey builders, social media scheduling, workflow and automation builders, AI staff tools, and all other features included in your account tier at the time of subscription.
All fees are in Australian dollars and inclusive of GST where applicable. Fees are non-refundable once charged except where required by Australian Consumer Law. Platform features may be added, modified, or updated from time to time with a minimum of 30 days written notice of any changes that materially reduce included features.
2.5 Client contact list — what transfers on upgrade
On upgrade, you are entitled to transfer of contact records for clients with whom you personally completed a minimum of one paid and fulfilled booking during your Wagly member account period. These are clients who chose you specifically as their Pet Professional.
The following contacts do not transfer and remain within the Wagly platform:
Transferred contact records may be used only to continue your direct service relationship with those clients. They may not be shared with third parties, used on behalf of any other platform or marketplace, or used for any commercial purpose unrelated to your own direct pet care services.
2.6 Intellectual property — Wagly Foundation Assets and Member-Built Assets
All assets in your account fall into one of two categories. Understanding this distinction is important before you accept upgrade to The Petpreneur Platform.
Wagly Foundation Assets
Wagly Foundation Assets are system configurations, tools, and templates built by our team to establish and operate your account. They are provided under licence for use within your account. They are not sold or transferred to you as owned assets and they remain the intellectual property of Latte Legacy Pty Ltd at all times.
Wagly Foundation Assets include, as listed in the Transition Asset Record at the time of upgrade:
Wagly Foundation Assets may not be transferred, exported, copied, shared, disclosed, reproduced, or replicated on any other platform or system. This restriction applies to proprietary configuration architecture and not to your personal contact data or independently created content.
Member-Built Assets
Member-Built Assets are system elements, content, or configurations you independently create within your Petpreneur Platform account after the upgrade date. These are yours. They include additional websites you design, forms and workflows you create independently, social media configurations you set up, AI tools you build, and any other system element you personally create that is not listed in the Transition Asset Record.
Member-Built Assets are subject to GoHighLevel's standard platform terms. You retain the rights to your Member-Built Assets that GoHighLevel's terms provide and may export them using GoHighLevel's standard export functionality to the extent permitted by those terms.
2.7 The Transition Asset Record
At the time of your upgrade, both you and a Latte Legacy representative will complete and sign a Transition Asset Record. This document lists all Wagly Foundation Assets configured and provided to your account as part of the upgrade process. It constitutes the definitive record of which assets are Wagly Foundation Assets and which are Member-Built Assets.
In the event of any dispute about asset classification, the Transition Asset Record is the primary reference document. Both parties will receive a signed copy within five business days of the upgrade date. You should retain this document for the duration of your subscription and for two years following any cancellation.
2.8 Platform lock — agency restriction
Your account is established as a location within the Latte Legacy agency account on the GoHighLevel platform. Your location cannot be transferred, migrated, assigned, detached, or moved to any other agency, white-label provider, reseller, or independent GoHighLevel account while your subscription is active or during any notice period following cancellation.
Material breach warning. Attempting to circumvent this restriction — including requesting a platform location transfer directly from GoHighLevel, engaging a third party to replicate your account configuration, or copying Wagly Foundation Asset configurations for use elsewhere — constitutes a material breach of these terms and will result in immediate termination of your account without refund and may result in legal action to recover losses.
2.9 Wagly branding following upgrade
Following upgrade to The Petpreneur Platform your listing on the Wagly marketplace as a $47 member is removed. You operate as an independent business. You may not use the Wagly name, logo, badges, verification marks, or any other Wagly branding in your independent business marketing, website, social media, or client communications. You may state truthfully that you have professional experience in the pet care industry.
If you are listed in the Wagly Hosted Businesses section as part of your $150 subscription, separate branding terms applicable to that listing will be provided at the time of listing approval.
2.10 Wagly reviews following upgrade
Reviews, ratings, and testimonials collected on your Wagly profile during your $47 member period remain the intellectual property of Latte Legacy Pty Ltd and are stored on the Wagly platform. They may not be copied, screenshotted, reproduced, or published in your independent business marketing without our express written permission.
2.11 Cancellation of Petpreneur Platform subscription
You may cancel your Petpreneur Platform subscription by providing a minimum of 30 days written notice to [email protected]. Your subscription continues during the notice period and the monthly fee applies for that period.
Upon expiry of your notice period your access to The Petpreneur Platform will be terminated at the end of the relevant billing cycle. You will be provided with an export of your contact data and Member-Built Assets to the extent permitted by GoHighLevel's standard export functionality. Wagly Foundation Assets are not exportable and remain within the platform.
Reactivation of a cancelled account requires payment of all outstanding fees and a reactivation fee. We do not guarantee that a cancelled account can be reactivated and reactivation is at our discretion.
Part 3
General terms applicable to both tiers
3.1 Your tax and super obligations
As an independent business operator you are solely responsible for all your own tax obligations including income tax, GST registration and remittance where applicable, and superannuation contributions. Latte Legacy Pty Ltd does not withhold tax, make superannuation contributions, or have any obligation in relation to your personal tax affairs. We strongly recommend speaking to a registered accountant before starting.
3.2 Your own insurance
You are strongly encouraged to hold current public liability insurance with a minimum coverage of $5,000,000 per occurrence. Latte Legacy Pty Ltd does not provide insurance coverage for your individual activities. You may be asked to provide a current certificate of currency upon request. We accept no liability for claims arising from your provision of pet care services to clients.
3.3 Confidentiality
You agree to keep confidential all non-public information you access through your membership or subscription relating to either the Wagly platform or The Petpreneur Platform. This includes but is not limited to the internal structure and configuration of either platform, business processes and operational strategies, client acquisition methods and marketing approaches, automation architecture and workflow design, and any information about other Wagly Pet Professionals or clients.
This obligation applies during and after your subscription and continues for two years following termination or cancellation. It does not apply to information that is or becomes publicly available through no fault of your own or that you are required to disclose by law.
3.4 Non-solicitation of other Pet Professionals
During your subscription and for 12 months following its termination or cancellation, you agree not to actively solicit, encourage, or induce other Wagly Pet Professionals to leave the platform, cancel their subscriptions, or join a competing pet care marketplace. This obligation does not prevent general professional networking or social interaction that does not specifically concern departure from Wagly.
3.5 Termination for cause
We reserve the right to terminate your subscription immediately and without refund in any of the following circumstances:
Where possible we will provide written notice with reasons. In cases of serious misconduct, risk to animal welfare, or suspected fraud we may terminate immediately without prior notice. Termination for cause does not give rise to any entitlement to a refund of fees paid.
3.6 Suspension
We may suspend your marketplace listing or platform access rather than terminate where a matter is under investigation, where verification has lapsed, or where a payment is overdue. Suspension does not terminate your subscription and fees continue to accrue during a suspension period unless we determine otherwise in writing.
3.7 Incident reporting
You must report any incident that occurs during a booking — including injury to an animal, injury to yourself or a third party, property damage, or an animal going missing — to [email protected] within 24 hours of the incident. Failure to report incidents is a breach of these terms.
3.8 Client confidentiality
All client personal information and pet information you access through the platform is confidential. You must not share, use, or disclose this information for any purpose beyond delivering the booked service. This obligation continues after your subscription ends.
3.9 Dispute resolution
In the event of a dispute between you and Latte Legacy arising from these terms, both parties agree to attempt resolution in good faith through direct written communication in the first instance. If the dispute cannot be resolved within 14 days of written notice being given, both parties agree to engage a neutral mediator acceptable to both parties before pursuing formal legal proceedings. Mediation costs are shared equally unless otherwise agreed. These terms are governed by the laws of Queensland, Australia.
3.10 Disputes with clients
Disputes between you and your clients are yours to resolve. Latte Legacy is not a party to transactions between you and your clients. Where a client raises a complaint about a member through the Wagly platform, we will notify you and provide an opportunity to respond within five business days. We may remove a member's listing where client complaints indicate a pattern of conduct that breaches the Code of Conduct.
3.11 Limitation of liability
To the maximum extent permitted by Australian law, our total liability to you for any claim arising from or relating to these terms or your subscription — whether in contract, tort, or otherwise — is limited to the total fees paid by you in the three months immediately preceding the event giving rise to the claim. We are not liable for any indirect, consequential, special, or incidental losses including lost profits or lost business opportunity. Nothing in this clause limits any rights you have under the Australian Consumer Law that cannot lawfully be excluded or limited.
3.12 Privacy
Your personal information is collected and handled in accordance with our Privacy Policy available at wagly.com.au. Client data accessed through the platform is handled in accordance with the Privacy Policy and your confidentiality obligations in clause 3.8.
3.13 Australian Consumer Law
Nothing in these terms limits any rights you may have under the Australian Consumer Law or any other applicable legislation where those rights cannot lawfully be limited.
3.14 Variation of terms
We may update these terms from time to time. We will notify you of any material changes by email to your registered address with a minimum of 30 days notice before changes take effect. Continued use of either platform after the effective date constitutes acceptance. If you do not accept updated terms you may cancel in accordance with the relevant cancellation clause.
3.15 Entire agreement
These terms, together with the Wagly Pet Professional Code of Conduct, the Transition Asset Record where applicable, and any other documents expressly incorporated by reference, constitute the entire agreement between you and Latte Legacy Pty Ltd in relation to your subscription and supersede all prior discussions, representations, or agreements relating to the same subject matter.
3.16 Severability and waiver
If any provision of these terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions continue in full force. A failure or delay by either party in exercising any right or remedy does not constitute a waiver of that right or remedy.
3.17 Governing law
These terms are governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland.

Transition Asset Record
This Transition Asset Record is completed at the time of upgrade from a Wagly member account to The Petpreneur Platform. It constitutes the definitive record of Wagly Foundation Assets provided to the member's account as part of the upgrade setup. Both parties must sign. Both parties receive a copy within five business days of the upgrade date.

These Terms and Conditions govern your participation in the Wagly Pet Professional program and, where applicable, your use of The Petpreneur Platform. By submitting an application, accepting membership, or accessing either platform, you agree to be bound by these terms in full.
Wagly and The Petpreneur Platform are owned and operated by the same entity. References to "we," "us," or "our" refer to Wagly and The Petpreneur Platform collectively. References to "you" or "Pet Professional" refer to the individual applying for or holding membership under either tier described in these terms.

PART 1 — THE EASY WAY MEMBERSHIP
1.1 What the Easy Way membership includes
The Easy Way membership provides access to the Wagly Pet Professional program at $47 AUD per month. Membership includes the following:
Listing on the Wagly public marketplace as a verified Pet Professional in your area. Management of client bookings, reschedules, cancellations, and enquiries on your behalf by the Wagly administration team. Automated client reminders and nurture communications sent under the Wagly brand on your behalf. Access to the Wagly members area, including educational courses, a community forum, an event calendar, and direct support from the Wagly administration team. The setup of a foundational booking system and client-facing webpage within the Wagly platform infrastructure to facilitate your bookings.
The features included in Easy Way membership may be updated or expanded from time to time. We will notify you of any material changes with a minimum of 30 days written notice.
1.2 Client acquisition and the Wagly brand
Clients introduced to you through the Wagly platform are acquired through Wagly's marketing, advertising, reputation, brand trust, and verification infrastructure. You acknowledge that the client relationship is facilitated by Wagly and that Wagly's brand, verification processes, and marketplace standing are material to a client's decision to book with you. The client relationship during your Easy Way membership is managed through and under the Wagly platform.
1.3 Commission structure
Wagly retains a commission on all bookings completed through the platform. Your earnings per booking are displayed in your member account and confirmed at the time of each booking. Commission rates may be updated from time to time with a minimum of 30 days written notice. Changes to commission rates do not apply retrospectively to bookings already confirmed before the notice date.
1.4 Membership fees and billing
The Easy Way membership fee of $47 AUD per month is charged monthly in advance on your billing date. Membership continues on a rolling month-to-month basis until cancelled by either party in accordance with clause 1.6. All fees are in Australian dollars and inclusive of GST where applicable. Fees are non-refundable once charged except where required under the Australian Consumer Law.
1.5 Minimum membership period before transition
To be eligible to transition to The Next Step tier you must have held an active Easy Way membership in good standing for a minimum of three consecutive months. This minimum period exists to ensure that the significant time and resources invested by our team in configuring your transition account are applied to established members with a demonstrated commitment to the platform.
Membership is considered to be in good standing where your monthly fee payments are current, there are no unresolved client complaints or conduct issues, and you have maintained the verification requirements set out in clause 1.7.
1.6 Cancellation of Easy Way membership
You may cancel your Easy Way membership at any time by providing a minimum of 30 days written notice by email to [email protected]. Your membership continues during the notice period and the monthly fee applies for that period. Upon cancellation your listing on the Wagly marketplace will be removed and your access to the Wagly members area and platform will be terminated at the end of your final billing cycle.
We may cancel your membership immediately in the circumstances set out in clause 3.3.
1.7 Verification requirements
Your continued listing on the Wagly marketplace is conditional on maintaining current verification at all times. This includes a valid National Police Check issued within the previous two years, current identity verification through our approved identity partner, and any specialist credentials relevant to the services listed on your profile — including but not limited to breeder registration, veterinary nursing registration, or show handling experience where applicable.
You agree to provide updated documentation promptly when requested and within the timeframes specified by our team. Failure to maintain current verification may result in your listing being suspended or removed until verification is renewed.
1.8 Professional conduct
As a Wagly Pet Professional you represent the Wagly brand in every client interaction. You agree to maintain the standards of professionalism, reliability, and animal welfare set out in the Wagly Pet Professional Code of Conduct, which is provided to you at the time of your membership approval and updated from time to time. Key obligations include honouring confirmed bookings without unreasonable cancellation, communicating with clients and the Wagly team promptly and professionally, and delivering the standard and type of care represented in your profile at all times.
PART 2 — THE NEXT STEP — THE PETPRENEUR PLATFORM
2.1 What The Next Step tier is
The Next Step tier provides you with your own dedicated business account within The Petpreneur Platform — a purpose-built business management system for pet care professionals owned and operated by the same entity as Wagly. This tier is designed for Pet Professionals who wish to operate their own business independently, manage their own client relationships directly, and build their own business systems and infrastructure.
2.2 Eligibility for transition
Transition to The Next Step tier is available to Pet Professionals who meet all of the following criteria at the time of their transition request: completion of the minimum three month Easy Way membership period as set out in clause 1.5, membership in good standing with no outstanding complaints or unresolved client issues, current verification as set out in clause 1.7, and submission of a written transition request by email to [email protected] that has been formally accepted by our team.
We reserve the right to decline a transition request where we consider in good faith that the eligibility criteria have not been met or where there are unresolved matters relating to the member's conduct or standing on the platform.
2.3 What transition includes
Upon approval of your transition request, our team will complete the following on your behalf: configuration of a dedicated location within The Petpreneur Platform for your business, transfer of the Wagly Foundation Assets as defined in clause 2.6 and listed in the Transition Asset Record as defined in clause 2.7, migration of your eligible client contact list as defined in clause 2.5, and configuration of a business webpage within your platform account.
The transition process requires a meaningful investment of time and resources from our team. A one-time transition setup fee applies, the amount of which will be disclosed to you at the time your transition request is accepted. This fee is separate from your ongoing monthly subscription fee and is payable before transition work commences. The transition setup fee is non-refundable once the transition process has begun.
2.4 Monthly subscription fee
The Next Step tier is $150 AUD per month charged monthly in advance on your billing date. Your subscription includes unlimited contacts, website functionality, form and survey builders, social media scheduling tools, workflow and automation builders, and all other features included in your account tier at the time of subscription. All fees are in Australian dollars and inclusive of GST where applicable. Fees are non-refundable once charged except where required under the Australian Consumer Law.
Platform features may be added, modified, or updated from time to time. We will provide a minimum of 30 days written notice of any changes that materially reduce the features included in your subscription tier.
2.5 Client contact list — what transfers and what does not
On transition, you are entitled to the transfer of contact records for clients with whom you personally completed a minimum of one paid and fulfilled booking during your Easy Way membership period. These are clients who chose you specifically as their Pet Professional and with whom you have an existing direct relationship.
The following contacts are not transferable and remain within the Wagly platform: leads and enquiries who did not proceed to a paid booking, clients who were serviced by other Wagly Pet Professionals and not by you personally, clients whose bookings were managed by the Wagly administration team without your direct involvement, and any contact records generated through Wagly's marketing or advertising activities that did not result in a personally fulfilled booking with you.
The transferred contact list is provided to you for the sole purpose of continuing your direct service relationship with those clients within The Petpreneur Platform. It may not be shared with third parties, used on behalf of any other platform or marketplace, or used for any commercial purpose unrelated to your own direct pet care services.
2.6 Intellectual property — Wagly Foundation Assets and Member-Built Assets
All assets within your Petpreneur Platform account fall into one of two clearly defined categories. Understanding this distinction is important before you accept transition to The Next Step tier.
Wagly Foundation Assets
Wagly Foundation Assets are the system configurations, tools, and templates that our team builds and provides to establish your account at the time of transition. These assets were created by Wagly using our expertise, resources, and intellectual property. They are provided to you under licence for use within your Petpreneur Platform account. They are not sold or transferred to you as owned assets.
Wagly Foundation Assets include the following items as configured and listed in the Transition Asset Record at the time of your transition: the initial booking system pipeline and configuration, the client-facing booking webpage built by our team, core automation workflows for booking confirmations, appointment reminders, and client nurture communications, email and SMS templates created by Wagly, intake and enquiry forms built by our team, and any other system architecture created by Wagly that existed in your account on the transition date as listed in the Transition Asset Record.
Wagly Foundation Assets remain the intellectual property of Wagly and The Petpreneur Platform at all times. They may not be transferred, exported beyond your account, copied, shared, disclosed, reproduced, or replicated on any other platform or within any other system, regardless of any general data portability rights that may exist under GoHighLevel's platform terms. This restriction applies specifically to proprietary configuration architecture and not to your personal contact data or content you have independently created.
Member-Built Assets
Member-Built Assets are any system elements, content, or configurations that you independently create within your Petpreneur Platform account after the transition date. These are yours. They represent your own intellectual property created through your own time, skill, and effort.
Member-Built Assets include but are not limited to additional websites or pages you design and build, forms and surveys you create independently, workflows and automation sequences you construct from scratch, social media content and scheduling configurations you set up, AI tools and staff configurations you build, additional funnels and landing pages you develop, and any other system element you personally create after the transition date that is not listed in the Transition Asset Record.
Member-Built Assets are subject to GoHighLevel's standard platform terms regarding data and content. You retain the rights to your Member-Built Assets that GoHighLevel's terms provide. In the event that you cancel your Petpreneur Platform subscription in accordance with clause 2.10, your Member-Built Assets and your contact data may be exported using GoHighLevel's standard export functionality to the extent permitted by GoHighLevel's own terms.
2.7 The Transition Asset Record
At the time of your transition, both you and a Wagly representative will complete and sign a Transition Asset Record. This document lists all Wagly Foundation Assets configured and transferred to your account as part of the transition process. It constitutes the definitive record of which assets in your account are Wagly Foundation Assets and which are Member-Built Assets.
In the event of any dispute about the classification of a particular asset, the Transition Asset Record is the primary reference document. Assets that appear in the Transition Asset Record are Wagly Foundation Assets. Assets created after the transition date that do not appear in the Transition Asset Record are Member-Built Assets.
Both parties will receive a signed copy of the Transition Asset Record by email within 5 business days of the transition date. You should retain this document for the duration of your subscription and for two years following any cancellation.
The Transition Asset Record template is set out in Schedule 1 at the end of these terms.
2.8 Platform lock — agency restriction
Your Petpreneur Platform account is established as a location within the Wagly agency account on the GoHighLevel platform. Your location cannot be transferred, migrated, assigned, detached, or moved to any other agency, white-label provider, reseller, third-party operator, or independent GoHighLevel account under any circumstances while your subscription is active or during any notice period following cancellation.
This restriction exists to protect the significant and material investment made by our team in configuring, building, and maintaining your account infrastructure including your Wagly Foundation Assets. It reflects the commercial reality that the account was established within and depends upon the Wagly agency infrastructure.
Attempting to circumvent this restriction — including but not limited to requesting a platform location transfer directly from GoHighLevel, engaging a third party to replicate your account configuration, copying or exporting Wagly Foundation Asset configurations for use elsewhere, or attempting to have your location moved to another agency — constitutes a material breach of these terms. A material breach in relation to this clause will result in immediate termination of your account and subscription without refund and may result in legal action to recover losses suffered by Wagly as a result of the breach.
2.9 Wagly branding following transition
Upon transition to The Next Step tier your listing on the Wagly public marketplace is removed and you operate as an independent business. Following transition you may not use the Wagly name, logo, badges, verification marks, trust indicators, or any other Wagly branding in your independent business marketing, website, social media profiles, client communications, or any other public or private context. You may not represent yourself as affiliated with, endorsed by, operating under, or formerly operating under Wagly in any way that implies current endorsement or association. You may state truthfully that you have professional experience in the pet care industry.
2.10 Wagly platform reviews and ratings
Reviews, ratings, and testimonials collected on your Wagly profile during your Easy Way membership period remain the intellectual property of Wagly and are stored on the Wagly platform. They may not be copied, screenshotted, reproduced, attributed, or published in any form in your independent business marketing or on any other platform or review service. You may not represent Wagly platform ratings as your own independent business ratings or use specific review content from the Wagly platform without our express written permission.
2.11 No return to Wagly marketplace listing
Following your transition to The Next Step tier you may not apply to be listed as a Pet Professional on the Wagly public marketplace or participate in the Wagly Easy Way membership program for a period of 12 months from the date of your confirmed transition. After this 12 month period a new application may be submitted and will be assessed on its merits at that time without any obligation on our part to accept it. This restriction does not affect your right to continue your Petpreneur Platform subscription during this period.
2.12 Cancellation of Petpreneur Platform subscription
If you wish to cancel your Petpreneur Platform subscription you must provide a minimum of 30 days written notice by email to [email protected]. Your subscription continues during the notice period and the monthly fee applies for that period.
Upon the expiry of the notice period your access to The Petpreneur Platform will be terminated at the end of the relevant billing cycle. Following termination you will be provided with an export of your contact data and your Member-Built Assets to the extent permitted by GoHighLevel's standard export functionality. Your Wagly Foundation Assets are not exportable and remain within the platform.
Reactivation of a cancelled account requires payment of all outstanding fees and a reactivation fee to cover the administrative cost of reinstatement. We do not guarantee that a cancelled account can be reactivated and reactivation is at our discretion.
2.13 Consequences of non-payment
If your monthly subscription payment fails and is not resolved within 7 days of the due date your account will be suspended and your client-facing systems will be deactivated. If payment is not received within 30 days of suspension your account will be terminated. You are responsible for notifying your clients of any service interruption resulting from account suspension or termination. We accept no liability for losses arising from account suspension due to non-payment.
PART 3 — GENERAL TERMS APPLICABLE TO BOTH TIERS
3.1 Confidentiality
You agree to keep confidential all non-public information you access through your membership or subscription relating to either the Wagly platform or The Petpreneur Platform. This includes but is not limited to the internal structure and configuration of either platform, business processes and operational strategies, client acquisition methods and marketing approaches, pricing structures and commission arrangements, automation architecture and workflow design, and any information about other Wagly Pet Professionals or clients.
This confidentiality obligation applies during and after your membership or subscription and continues for a period of two years following the termination or cancellation of your account. It does not apply to information that is or becomes publicly available through no fault of your own, or that you are required to disclose by law.
3.2 Non-solicitation of other Pet Professionals
During your membership or subscription and for a period of 12 months following its termination or cancellation, you agree not to actively solicit, encourage, or induce other Wagly Pet Professionals to leave the Wagly platform, cancel their memberships, transition their accounts independently outside of the process set out in these terms, or join a competing pet care marketplace or platform. This obligation does not prevent general professional networking, social interaction, or communication that does not specifically concern departure from Wagly.
3.3 Termination for cause
We reserve the right to terminate your membership or subscription immediately and without refund in any of the following circumstances: a material breach of any provision of these terms, conduct that brings the Wagly or Petpreneur Platform brand into disrepute, confirmed or substantiated client complaints involving serious misconduct, neglect, or harm to an animal in your care, failure to maintain the verification requirements set out in clause 1.7, any attempt to circumvent the platform lock restriction in clause 2.8, or any fraudulent, dishonest, or unlawful conduct in connection with your membership or the services you provide.
Where possible we will provide written notice of termination with reasons. In cases of serious misconduct, risk to animal welfare, or suspected fraudulent activity we may terminate immediately without prior notice. Termination for cause does not give rise to any entitlement to a refund of fees paid.
3.4 Limitation of liability
To the maximum extent permitted by Australian law, our total liability to you for any claim arising from or relating to these terms or your membership or subscription — whether in contract, tort, or otherwise — is limited to the total fees paid by you in the three months immediately preceding the event giving rise to the claim. We are not liable for any indirect, consequential, special, or incidental losses including lost profits or lost business opportunity.
Nothing in this clause limits any rights you have under the Australian Consumer Law that cannot lawfully be excluded or limited.
3.5 Dispute resolution
In the event of a dispute arising from or relating to these terms, your membership, or your subscription, both parties agree to attempt resolution in good faith through direct written communication in the first instance. If the dispute cannot be resolved within 14 days of written notice being given by either party, both parties agree to engage a neutral mediator acceptable to both parties before pursuing any formal legal proceedings. The costs of mediation are shared equally unless otherwise agreed. These terms are governed by the laws of Queensland, Australia and the parties submit to the non-exclusive jurisdiction of the courts of Queensland.
3.6 Variation of terms
We may update these terms from time to time to reflect changes in our business, our platforms, or relevant law. We will notify you of any material changes by email to your registered address with a minimum of 30 days notice before the changes take effect. Continued use of either platform after the effective date of the updated terms constitutes your acceptance of those terms. If you do not accept the updated terms you may cancel your membership or subscription in accordance with the relevant cancellation provisions in these terms.
3.7 Entire agreement
These terms, together with the Wagly Pet Professional Code of Conduct, the Transition Asset Record where applicable, and any other documents expressly incorporated by reference, constitute the entire agreement between you and us in relation to your membership and platform access and supersede all prior discussions, representations, or agreements relating to the same subject matter.
3.8 Severability
If any provision of these terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, that provision will be severed from the terms and the remaining provisions will continue in full force and effect.
3.9 Waiver
A failure or delay by either party in exercising any right or remedy under these terms does not constitute a waiver of that right or remedy. A waiver of any breach does not constitute a waiver of any subsequent breach of the same or any other provision.
3.10 Australian Consumer Law
Nothing in these terms limits, excludes, or modifies any rights, guarantees, or remedies you may have under the Australian Consumer Law or any other applicable legislation where such rights, guarantees, or remedies cannot lawfully be limited, excluded, or modified.
3.11 Acknowledgement and acceptance
By submitting a membership application, activating a membership, or activating a subscription to either the Easy Way tier or The Next Step Petpreneur Platform tier, you confirm that you have read and understood these terms in full and agree to be bound by them.
SCHEDULE 1 — TRANSITION ASSET RECORD
This Transition Asset Record is completed at the time of transition from Wagly Easy Way membership to The Next Step Petpreneur Platform tier. It constitutes the definitive record of Wagly Foundation Assets provided to the member's account as part of the transition setup.
